TERMS AND CONDITIONS FOR ONLINE PURCHASE AND SALE OPERATIONS

MORENO DIESEL, S.A. DE C.V., with its registered address at America del Norte 215, Guadalupe, Nuevo León, México, 67128 (hereinafter referred to as “The Company”), offers for sale the products listed on its online platform located at www.morenodieselusa.com for direct sale to the general public without intermediaries. All purchase transactions conducted on this platform or its subpages are subject, without exception, to these Terms and Conditions (hereinafter referred to as “The Terms and Conditions” or “The Document”).

A) Ownership and Modifications

The domain www.morenodieselusa.com (hereinafter referred to as “Internet Platform” or “The Platform”) is the exclusive property of The Company.
The Company reserves the right to modify, correct, add, or improve the Platform’s content, including product features, pricing, and purchase conditions, without prior notice to the User.
Users accessing the Platform must read and review these Terms and Conditions before making a purchase or using any service.

B) Acceptance of Terms

By accessing, using, or purchasing any product or service on the Platform (hereinafter referred to as “User”), the User fully and expressly accepts these Terms and Conditions, in accordance with Article 1803 of the Federal Civil Code.
Users who do not agree with these Terms and Conditions or the Privacy Notice must refrain from making purchases, providing personal data, or using any services on the Platform.

C) Privacy Notice Acknowledgment

The User acknowledges having reviewed the Privacy Notice published on the Platform before making any purchase.

D) Intellectual Property Rights

All content, including photographs, logos, trademarks, domain names, software, and other materials on the Platform, is the exclusive property of The Company or third parties and is protected under intellectual property laws.
Users are strictly prohibited from copying, reproducing, distributing, modifying, or using any content for purposes other than purchasing products on the Platform.
Unauthorized use of intellectual property may result in legal action for damages.

E) Permitted Use of the Platform

The Platform is intended for:

Reviewing and purchasing products.
Accessing product descriptions and technical specifications. Any other use is prohibited, including:

Copying, redistributing, or reselling content.
Using automated systems to extract data.
Uploading malicious software or interfering with the Platform’s operation.

I. PURCHASE CONDITIONS, PRICING, AND DISCOUNTS

A) Governing Law

All purchases are considered retail transactions subject to Mexican commercial and tax laws.

B) Product Descriptions

Products are sold as described (including technical specifications).
The Company commits to delivering products matching the descriptions on the Platform.

C) Pricing and Errors

Prices are listed in Mexican Pesos (MXN) and include VAT (IVA).
The Company reserves the right to cancel transactions in case of pricing or description errors and issue refunds if applicable.

D) Product Variations

Minor variations in color or appearance (not affecting functionality) do not warrant cancellation.
If a product does not match its technical description, the User may request a return and refund.

E) Invoicing

Users may request a Digital Tax Receipt (CFDI) by providing:
- Tax ID (RFC)
- Business name (if applicable)
- Billing address
- Purchase confirmation number

F) Shipping Costs

Shipping fees are not included in product prices unless specified in a promotion.

II. PAYMENT METHODS

A) Accepted Payment Methods

Credit/Debit Cards (Visa, Mastercard, etc.) via Stripe.
Bank Transfers (SPEI).
Cash Payments (OXXO) via Stripe.

B) Payment Verification

The Company may verify transactions and suspend deliveries if payment details are inconsistent.

C) Refund Policy

Refunds (if applicable) will be processed within 20 business days to the User’s provided bank account.

III. ORDER CONFIRMATION

After payment authorization, the User receives a purchase confirmation via email.
This confirmation is required for returns, warranties, or refund requests.

IV. DELIVERY TERMS

A) Shipping

Products are delivered via courier services to the address provided.
Delivery times: Up to 12 business days (Mexico only).

B) Delivery Issues

Users must inspect packages upon delivery and report damages within 72 hours.
The Company covers losses or damages during transit.

V. WARRANTIES & LIABILITY

A) Product Warranty

Covered defects: Manufacturing faults only (unless otherwise stated).
Warranty claims must be filed within the specified period after delivery.

B) Warranty Exclusions

Damage from misuse, accidents, or unauthorized repairs voids the warranty.

C) No Monetary Refunds

Only product replacements are offered under warranty.

VI. CANCELLATIONS & RETURNS

Returns are accepted if the product does not match its description.
Exchanges are allowed for products of equal or higher value.
No cash refunds—only replacements.

VII. PRIVACY & DATA PROTECTION

User data is processed per the Privacy Notice (available on the Platform).
Cookies are used to enhance user experience (can be disabled in browser settings).

IX. GOVERNING LAW & DISPUTE RESOLUTION

Disputes will first be resolved via CONDUSEF (Consumer Protection Agency).
Unresolved disputes will be settled in Monterrey Commercial Courts.

X. FINAL PROVISIONS

By using the Platform, Users agree to these Terms and Conditions.
The Company reserves the right to update these terms, with changes published on the Platform.
